This course covers the theory and practice of corporate governance. The broad topics include board composition and independence, ownership and corporate control, directors and their fiduciary responsibilities as well as their monitoring role, management performance and incentive compensation. Discussions should also cover the legal liabilities of directors' actions, accounting reporting, and inside directors' responsibilities. The principles of corporate governance will be extended to cover international corporate governance. Major published articles covering corporate governance will be discussed in class to show the thrust of the debate on governance issues. Prerequisite: BU603
